API Pricing Plan Disclaimer

  

Thank you for your interest in using the Ryple application programming interface (the "Ryple API"). The Ryple API is a service that provides real time access to live data from USGS stream gauges, solunar data and local barometric pressure data to define the optimal conditions for the occurrence of bug hatches up to seven days in advance (the “API Data”). The Ryple API is owned and operated by NuKru, LLC. This Pricing Plan for Ryple API Subscriptions (“Pricing Plan”) is incorporated in its entirety into NUKRU’s API Use Policy, Privacy Policy and Terms of Service.

Before we can talk about the various API subscription levels, and their associated pricing, let’s clear up some basic definitions so we’re all on the same page.

1. DEFINITIONS

a. “You” or “Your” shall mean you, the Subscriber, whether you’re acting in your individual capacity or on behalf of a company or entity.
b. “NUKRU” or “Company” or “we” or “us” or “our” shall mean NuKru, LLC, an Indiana limited liability company with its address at 924 Wheatley Dr., South Bend, IN 46614.
c. The “Ryple App” shall mean the Ryple mobile fly fishing application, downloadable for free to iOS and Android devices through the Apple Store, or at www.ryple.com.
d. The “Ryple API” shall mean the Company’s application programming interface available through NUKRU’s developer’s portal, which is accessed here.
e. A “Request” shall mean a single connection by you to the Ryple API endpoint which is tracked and reported by NUKRU; the Company reserves the right to define a “request” in its sole and absolute discretion.
f. A “Key” shall mean your unique application programming interface key, assigned to you by NUKRU at the time you create your Subscriber account, which the Company will use to track and report your requests to the Ryple API.
g. A “Day” shall mean the 24-hour period from Midnight to Midnight in New York City local time (either EDT or EST depending on the time of year).
h. A “Minute” shall mean a 60-second period of time on the NUKRU servers’ internal clock.
i. A “Month” shall mean any calendar month period ranging from 28 to 31 days, depending on the month.

3. BILLING TERMS AND CONDITIONS. NUKRU reserves the right to limit your use of the Ryple API to your selected subscription level and pricing tier. NUKRU will only charge for its Ryple API services within the applicable subscription level; for example, your first 10,000 requests will be free, subscription requests between 10,001 and 50,000 will be charged at a rate of $0.005 per request, and subscription requests between 50,001 and 100,000 will be charged at a rate of $0.003 per request. NUKRU will not “bump” you to the next subscription level without your express authorization – to provide such authorization, log into the developer’s portal with your credentials, then state your request to NUKRU through the message center. Absent such authorization, Ryple API requests will be rate limited per your subscription plan limit and may result in usability issues within your application or services, and/or create a negative end-user experience. NUKRU expressly disclaims all liability resulting from use of the Ryple API exceeding a Subscriber’s monthly limit, including but not limited to loss of customer goodwill, lost revenues, or other negative business effects. NUKRU will track your use of the Ryple API using your unique Key. You are responsible for maintaining the security and safekeeping of the Key. For CORE subscribers, if, in a given month, your actual Ryple API requests falls below the 50,000 level, and your actual number of requests stays below the 50,000 level for at least 15 days out of the month, then NUKRU will charge you a rate of $0.004 per request for the month for those requests falling below the 50,000 level; if, however, this trend continues for three consecutive months, NUKRU will automatically drop you to the BASIC plan, and you agree to continue paying for services at the BASIC plan rates. You agree to pay all fees for the Ryple API in accordance with this Pricing Plan, as well as the terms and conditions of the API Use Policy and the Terms of Use, available here and here. All payments to NUKRU are non-refundable.


4. EFT/ACH DRAFT AUTHORIZATION. You authorize NUKRU, or its designated third-party billing processor, to make the periodic charges and withdrawals as described in the Pricing Plan. You grant to NUKRU, or its third-party billing processor, the right to charge your designated account or credit card for any subscription fees described herein. You understand that while you are entitled to receive notice of all varying charges and withdrawals under this draft authorization, you hereby waive the right to receive any prior notice for charges and withdrawals made with respect to any uncollected payments or portions of the balance owed. It is your responsibility to inform NUKRU of any account changes, which you may update at your subscription account or by sending a message to the Company through the message center in the developer’s portal, available here.

5. TERMINATION. You can terminate your subscription to the Ryple API, or modify your service level, at any time by providing NUKRU with a written notice at least 30 days in advance of the desired termination date or change. All notices should be submitted through the message center in the developer’s portal, available here. Please note that NUKRU reserves the right to bill you through the termination date of your final billing cycle.
